LICENSE AGREEMENT
FOR THE USE OF SOFTWARE
"Bitrix24 Integration Application: Prom MarketPlace"
Dear user! Before installing, copying or otherwise using the Software, please carefully read the terms of this Agreement, which is a standard form of adhering contract and is concluded in a written or other form provided for by the current legislation of Ukraine. If you do not agree to the terms of this Agreement, you cannot use the Software. Installation, launching, or other start of using the Software means your acceptance of the proposal to conclude the Agreement, your full agreement with all the terms of this Agreement and its proper conclusion in the manner provided for in part 2 of Article 642 of the Civil Code of Ukraine. This Agreement is legally binding, and if you do not agree to its terms, you do not have the right to install the Software and must remove all its components from your Bitrix24.
LICENSE AGREEMENT (hereinafter - Agreement) is concluded between individual entrepreneur FOP Ostatniy Sergiy Sergiyovich (hereinafter - Licensor) and the user (any natural person, individual entrepreneur, legal entity, hereinafter - User) of the computer program "Bitrix24 Integration Application: Prom MarketPlace" (hereinafter - Software).
The following terms are used in this Agreement in the following meanings:
1.2. All provisions of this Agreement apply to the Software as a whole, as well as to its individual components. The Software is licensed as a single computer program, and its components cannot be separated and used on different computers.
1.3. This Agreement is concluded before or directly at the start of using the Software and is valid throughout the term of the Licensor's copyright on the Software, provided that the User complies with the terms of this Agreement.
1.4. The Licensor grants the User the right to use the Software on the territory of Ukraine on the terms and in the manner provided for by the current legislation of Ukraine and this Agreement.
2. COPYRIGHTS
2.1. The Software is an object of copyright as a computer program, which is regulated and protected by the legislation of Ukraine and the norms of international law.
2.2. The Software contains commercial secrets and other confidential information belonging to the Licensor. Any use of the Software in violation of the terms of this Agreement is considered a violation of the Licensor's rights and is sufficient grounds for depriving the User of the rights granted under this Agreement.
2.3. The Licensor guarantees that it owns all rights to use the Software, including its documentation, necessary for granting the User the right to use the Software under this Agreement.
2.4. In case of copyright infringement, liability is provided in accordance with the current legislation of Ukraine.
3. TERMS OF USE AND RESTRICTIONS
3.1. This Agreement grants the right to install, launch, and use one legally acquired copy of the software within its functional capabilities on one Bitrix24.
3.2. The user may, upon notification to the Licensor, transfer their rights and obligations under this Agreement in full to another user once, except for the right to further transfer the rights under this Agreement to other users, which limits the possibility of repeated transfer of rights under this Agreement. Such transfer of rights and obligations shall be made subject to the full and unconditional agreement of the new user with all the terms and conditions of this Agreement. By transferring the rights to use the software, the User undertakes to completely destroy all copies of the software installed on their Bitrix24, including backup copies. The User is obliged to provide full information about the new user for re-registration of the rights to use the software in accordance with this Agreement.
Transfer of rights under this Agreement cannot be made (i) indirectly or through any third party, and (ii) in case the User uses the Demo version of the software (the initial User is prohibited from alienating the Demo version).
3.3. The user has the right to modify, add or delete any files of the purchased software only in cases provided by the legislation of Ukraine.
3.4. It is prohibited to delete any information about copyright.
3.5. Any use of the software that violates the current legislation of Ukraine is prohibited

4. RESPONSIBILITY OF PARTIES
4.1. Violation of the terms of this Agreement entails liability as provided by the legislation of Ukraine.
4.2. The Licensor shall not be liable to the User for any damages, loss of profit, information, or savings associated with the use or inability to use the software, even if the User has been previously informed of the possibility of such damages, or for any third-party claims.
5. LIMITATIONS
5.1. The Licensor provides the User with the right to receive Technical support in the form of consulting the User on issues related to the functionality of the Module, features of installation and operation of the Software on standard configurations of supported (popular) operating, postal, and other systems during the entire term of this Agreement, as well as in accordance with the current legislation of Ukraine without additional remuneration.
5.2. All Software updates are an integral part of it and are used exclusively together with the Software as a single computer program in the manner provided for in this Agreement, unless other terms of use of such updates are provided for in a separate license agreement.
5.3. If errors are detected during the use of the Software, the Licensor undertakes to correct them as soon as possible and release a new, corrected version of the Software. The parties agree that the exact determination of the error correction period cannot be established since the Software closely interacts with other computer programs of third-party developers, the operating system, and computer hardware resources of the User's computer, and the performance and time of problem resolution depend not only on the Licensor.
5.4. In case of non-compliance with any of the provisions of Section 3 of this Agreement, the User automatically loses the right to receive updates (new versions) of the Software.
6.ACTION, MODIFICATION, AND TERMINATION OF AGREEMENT
6.1. This Agreement is concluded and interpreted in accordance with the laws of Ukraine.
6.2. In case of User's violation of the terms of this Agreement regarding the use of the Software, the Licensor has the right to unilaterally terminate this Agreement by notifying the User.
6.3. Upon termination of this Agreement, the User is obliged to completely stop using the Software and destroy all copies of the Software installed on the User's Bitrix24, including backup copies and all components of the Software.
6.4. The User has the right to terminate this Agreement at any time by completely deleting the Software.
6.5. In the event that a competent court declares any provisions of this Agreement invalid, the Agreement continues to be valid in other parts.
6.6. This Agreement also applies to all updates (new versions) of the Software provided to the User during its validity period, unless the User is offered to familiarize and accept a separate license agreement or an addendum to this Agreement when updating the Software.

LICENSE AGREEMENT (hereinafter - Agreement) is concluded between individual entrepreneur FOP Ostatniy Sergiy Sergiyovich (hereinafter - Licensor) and the user (any natural person, individual entrepreneur, legal entity, hereinafter - User) of the computer program "Bitrix24 Integration Application: Prom MarketPlace" (hereinafter - Software).
The following terms are used in this Agreement in the following meanings:
- Software - the computer program "Bitrix24 Integration Application: Prom MarketPlace" (both in its entirety and its components), the exclusive proprietary rights to which in the territory specified in clause 1.4 of this Agreement belong to the Licensor;
- Demo-version of the Software - a version of the Software "Bitrix24 Integration Application: Prom MarketPlace" in which restrictions are set for the period of its use and which is intended solely for the User's independent familiarization with the functional capabilities of the Software on the terms of this Agreement and is not intended for sale or other transfer to third parties.
- 1.SUBJECT OF AGREEMENT
1.2. All provisions of this Agreement apply to the Software as a whole, as well as to its individual components. The Software is licensed as a single computer program, and its components cannot be separated and used on different computers.
1.3. This Agreement is concluded before or directly at the start of using the Software and is valid throughout the term of the Licensor's copyright on the Software, provided that the User complies with the terms of this Agreement.
1.4. The Licensor grants the User the right to use the Software on the territory of Ukraine on the terms and in the manner provided for by the current legislation of Ukraine and this Agreement.

3. TERMS OF USE AND RESTRICTIONS

3.2. Such transfer of rights and obligations shall be made subject to the full and unconditional agreement of the new user with all the terms and conditions of this Agreement. The User is obliged to provide full information about the new user for re-registration of the rights to use the software in accordance with this Agreement.
Transfer of rights under this Agreement cannot be made (i) indirectly or through any third party, and (ii) in case the User uses the Demo version of the software (the initial User is prohibited from alienating the Demo version).
3.3. The user has the right to modify, add or delete any files of the purchased software only in cases provided by the legislation of Ukraine.
3.4. It is prohibited to delete any information about copyright.
3.5. Any use of the software that violates the current legislation of Ukraine is prohibited

4. RESPONSIBILITY OF PARTIES
4.1. Violation of the terms of this Agreement entails liability as provided by the legislation of Ukraine.
4.2. The Licensor shall not be liable to the User for any damages, loss of profit, information, or savings associated with the use or inability to use the software, even if the User has been previously informed of the possibility of such damages, or for any third-party claims.
5. LIMITATIONS
5.1. The Licensor provides the User with the right to receive Technical support in the form of consulting the User on issues related to the functionality of the Module, features of installation and operation of the Software on standard configurations of supported (popular) operating, postal, and other systems during the entire term of this Agreement, as well as in accordance with the current legislation of Ukraine without additional remuneration.
5.2. All Software updates are an integral part of it and are used exclusively together with the Software as a single computer program in the manner provided for in this Agreement, unless other terms of use of such updates are provided for in a separate license agreement.
5.3. If errors are detected during the use of the Software, the Licensor undertakes to correct them as soon as possible and release a new, corrected version of the Software. The parties agree that the exact determination of the error correction period cannot be established since the Software closely interacts with other computer programs of third-party developers, the operating system, and computer hardware resources of the User's computer, and the performance and time of problem resolution depend not only on the Licensor.
5.4. In case of non-compliance with any of the provisions of Section 3 of this Agreement, the User automatically loses the right to receive updates (new versions) of the Software.
6.ACTION, MODIFICATION, AND TERMINATION OF AGREEMENT
6.1. This Agreement is concluded and interpreted in accordance with the laws of Ukraine.
6.2. In case of User's violation of the terms of this Agreement regarding the use of the Software, the Licensor has the right to unilaterally terminate this Agreement by notifying the User.
6.3. Upon termination of this Agreement, the User is obliged to completely stop using the Software and destroy all copies of the Software installed on the User's Bitrix24, including backup copies and all components of the Software.
6.4. The User has the right to terminate this Agreement at any time by completely deleting the Software.
6.5. In the event that a competent court declares any provisions of this Agreement invalid, the Agreement continues to be valid in other parts.
6.6. This Agreement also applies to all updates (new versions) of the Software provided to the User during its validity period, unless the User is offered to familiarize and accept a separate license agreement or an addendum to this Agreement when updating the Software.
